SM REIT Vs Fractional Ownership: What Changed In India.

How SEBI's SM REIT rules changed fractional real estate: asset size, minimum investment and what to check.

By Ritam Bhattacharya, Head of Marketing8 Min Read1,563 WordsUpdated September 2026

SM REIT vs fractional ownership is a question of regulation. An SM REIT is a small and medium real estate investment trust, a structure SEBI introduced in March 2024 to regulate commercial property investment below the scale of a listed REIT. It brought fractional ownership platforms under regulation. Each scheme holds assets worth ₹50 crore to ₹500 crore, and the minimum investment was set at ₹10 lakh.

Key Takeaways

  • Fractional ownership platforms let investors share commercial property through SPVs, largely outside securities regulation.
  • SEBI created SM REITs to bring that activity under a regulated trust structure.
  • A scheme holds ₹50 crore to ₹500 crore of assets, mostly in completed, income-producing property.
  • Investment managers need a net worth of ₹20 crore, and most cash flow must reach unitholders.
  • Whatever the structure, the asset still needs verified title, valuation, custody and structure, and Pazalabs verifies each of these and attaches the evidence before a listing opens.

What Fractional Real Estate Ownership Was

Fractional ownership platforms grew in India by buying a single commercial property, usually an office floor or warehouse, through a special purpose vehicle and selling shares in that vehicle to investors. Rent flowed through the vehicle to the investors, and the platform charged fees for managing it.

The model opened Grade-A property to investors who could not buy a whole building. It also sat largely outside securities regulation, so disclosure, valuation and governance varied from platform to platform. The mechanics are covered in how fractional real estate ownership works.

As the market grew, so did the concern that retail investors were buying into property vehicles with limited oversight. Questions about valuation methods, conflicts of interest and what happened when a platform wanted to sell the asset led SEBI to design a regulated route for the same activity. Inconsistent diligence is the problem Pazalabs, our partner platform for real-world assets, was built to address, by making verified evidence part of every listing.

SM REIT Vs Fractional Ownership: What An SM REIT Is

A small and medium REIT is a trust registered with SEBI under its REIT regulations. It is run by an investment manager and can launch separate schemes, each holding one or more properties through an SPV. Investors buy units in a scheme and receive a share of its rental income.

The structure borrows the discipline of listed REITs, including registration, disclosure and rules on how cash is distributed, while allowing assets far smaller than a listed REIT needs.

The trust structure separates roles. The investment manager runs the schemes, a trustee oversees the trust on behalf of unitholders, and each property sits in its own vehicle. That separation is designed to protect investors if the manager runs into difficulty.

How A Scheme Works

Each scheme is ring-fenced. It holds its own property through its own vehicle, and investors in one scheme have no claim on the assets of another. That lets one manager run several schemes, each built around a different building or portfolio.

Rent from tenants flows into the vehicle, costs are paid, and the rules require most of the remaining cash to be passed up to the scheme and on to unitholders. Investors therefore receive regular income linked to the property's occupancy and rent.

Platforms operating at scale were expected to move their assets into SM REIT schemes after registering, and several established fractional platforms have since registered SM REITs with SEBI.

Regulation sets the structure and the disclosure floor. The evidence behind each individual asset, its title, value, tenants and custody, still has to be gathered and verified, which is the work Pazalabs puts on the record.

Real Estate Investment Due Diligence: How Pazalabs Verifies An Asset Before Listing

Pazalabs takes an asset through intake, diligence, structuring, onboarding and distribution, and each stage is verified and on the record. Before a listing opens, the diligence below is completed and attached.

  1. Title. Pazalabs checks ownership and encumbrances and attaches the evidence to the listing.
  2. Valuation. An independent valuation partner signs off the value on the record.
  3. Tenancy and other items. Legal, financial, environmental and tenancy items are each verified and tracked.
  4. Custody and transfer. A custodian or trustee holds title and acts as the record of truth, and a transfer agent maintains the register of unit holders.
  5. Structure. The vehicle, units, payout rules and transfer restrictions are shown as executable terms, so the rules for leaving a position are visible before anyone commits.

The verification describes the asset and makes no recommendation, so the decision to invest stays with the investor. Exit deserves particular attention, because real estate is slow to sell and the ease of leaving a position depends on the structure and on demand. The guide to how assets become liquidity covers the mechanics of turning property into tradable units.

What A Valuation Report Rests On

A valuation is only as good as its assumptions: the rent used, the expected vacancy, the length of the leases and the rate used to capitalise the income. Small changes in any of these move the value a great deal.

The valuation also sets the reference point for the unit price. When units are priced well above the valuation, the buyer pays a premium that the rent may take years to justify, which is why Pazalabs keeps the signed-off valuation on the listing itself.

How Pazalabs Presents Real-Asset Opportunities

Pazalabs, our partner platform for real-world assets, lists real estate, funds, private credit and receivables with the diligence attached before a position is taken. Title, valuation, custody and the transfer agent are verified and shown on each listing, so an investor sees the structure first and the pitch second.

Each asset carries a digital identity and its documents on a shared record, and investor KYC, AML and accreditation are verified once. Ownership and transfers are recorded on a permissioned ledger, so every investor reads the same history of the asset and its units. How the platform is configured for property is described under real estate.

Pazalabs works alongside ABSO (Asset Backed Securitisation Orchestration), the Istakapaza securitisation platform. Property is held in an SPV and opened as units through Pazalabs, while loan pools and other pooled opportunities are structured in ABSO, so listings of different real assets are shown with the same set of verified facts.
